In Lithuania, obtaining a license for cryptocurrency-related operations requires the establishment of a limited liability company (UAB). This legal entity will provide cryptocurrency exchange or storage services. The capital requirement for the license is €125,000, with an immediate payment of 25% (€31,250) and the balance of 75% (€93,750) payable within a year. Moreover, employing a local Anti-Money Laundering (AML) officer is compulsory, although the director's role can be filled by individuals of any nationality.

Distinctly, Lithuania stands out among other European countries for its streamlined, cost-effective approach to licensing crypto businesses. The country is forward-looking and has integrated some components of the MiCa Directive in advance of its formal adoption.

Crypto licenses in Lithuania cover two main types of operations for virtual asset service providers:
 

  1. Cryptocurrency exchange license — This license enables a company to execute virtual currency exchange against FIAT and vice versa, or facilitate virtual currency exchanges among themselves, earning a commission for the provided services.
     

  2. Cryptocurrency wallet license (cryptocurrency custodial services) — This license permits a company to hold virtual currencies in its wallet on behalf of its clients and maintain the encrypted private keys from these wallets.

Crypto to Crypto

Companies classified as Virtual Asset Service Providers (VASPs) are permitted to provide exchange services between various types of virtual assets, including utility tokens and coins. However, they are not authorized to facilitate trades involving security tokens as this necessitates an additional investment firm license.

Crypto to Fiat

A cryptocurrency license in Lithuania enables its possessor to provide services for the conversion of cryptocurrencies to fiat currencies and vice versa. This means their clients have the capability to purchase or sell existing utility tokens for traditional currencies, including the USD, Euro, etc. 

Custodial Service

The VASP License permits its holder to hold cryptocurrencies for clients via custodial wallets. Essentially, the operator can create a wallet for the customer, with the VASP maintaining control over the private keys.

ICO/IDO/IEO

A VASP registered in Lithuania not only has the ability to carry out Initial Coin Offerings (ICOs) but can also conduct Initial Exchange Offerings (IEOs) and Initial DEX Offerings (IDOs). These platforms offer a means for the VASP to introduce its cryptocurrency for the first time. It's crucial to underscore, however, that these offerings are confined to the issuance of utility tokens only.

Staking as Service

VASPs are authorized to utilize staking as an additional strategy to generate passive income from cryptocurrencies. Staking serves as a profitable alternative to simply holding cryptocurrencies, and can be likened to bank deposits within the crypto realm.

Mint & Trade NFTs

A Lithuanian-registered VASP has the ability to establish a platform for NFT trading or engage in the minting of NFTs, creating a marketplace for unique digital assets.
